1. Scope 

These Standard Terms apply to the supply of all products and services by EFS Consultants (India) Pvt. Ltd (EFS), whether ordered online by submitting an order in electronic format or any other method, unless we otherwise agree in writing.

2. Agency

We accept orders and instructions only on the basis that those instructing us do so as principals and are liable directly to us for payment of our account.

3. Use of third Party Contractor

We may, as your agent, directly or through an intermediary ask another contractor ("Third Party Contractor") to carry out some or all of any work which you instruct us to carry out for you. We shall pay the charges of Third Party Contractors on your behalf and recharge them to you with our own fees. We will take all reasonable care in selecting and instructing a Third Party Contractor. However, we have no control over the activities of a Third Party Contractor and therefore accept no responsibility for the services provided to you by that Third Party Contractor or for any errors or omissions in its work or products.

4. Adequacy of instruction

We provide services only on the basis that those instructing us give us all proper, necessary and timely instructions, authority and information (including the execution of all documents required) to enable us to undertake lawfully and effectively the business instructed, and that those instructing us indemnify us accordingly.

5. Third Party Reliance

Our services are customized and  provided solely for the use of our client and that client's own client on whose behalf the work has been commissioned and shall not be used or relied upon by any other third party.

6. Delivery of products and Services

Orders are delivered using standard postal services. Where you request an alternative method of delivery such as a courier service, you must meet those costs. Services are provided using reasonable skill and care.

7. Payment

We may require cash payment in advance before providing any services. Where we have agreed credit terms for you our invoices are due for payment 14 days from their date. We reserve the right to charge for costs and expenses incurred in recovering late payments, and to charge interest at penalty interest rate denoted in the invoice. The management of EFS reserves the right to make changes to its fees. Please request a price list at the beginning of the year or view EFS websites for further details.

8.Non Completion of Service

Where you instruct us to undertake any service, you will be responsible for our costs in providing that service whether or not it proceeds to its conclusion.

9. Right to Cancel
 

If you cancel an order which you have placed with us you will be responsible for our costs in processing the order and our liability to any Third Party Contractor in respect of the order. We will waive these charges if you place a replacement order of equivalent or greater value within 60 days of cancellation. You may not cancel a standard order after 24hours of receipt of instructions since the incorporation and drafting process has already commenced. An expedited order may not be cancelled at any time.

10. Data Protection
 

We will use personal information which we hold about you to provide our services and products to you, for credit control and market research purposes and to inform you about our services and products which we believe may be of interest to you. We do not share information with unrelated third parties.

In order to provide services to you we may be required to pass your personal information to parties abroad or to countries which do not have data protection laws. 

11. Due Diligence

For the incorporation of companies or the provision of other services we are required by law to collect evidence of identity from our clients and other due diligence information which you will be informed of at receipt of your application. If you fail to supply any due diligence which we request in original format we will be unable to provide services to you.

12. Your responsibility

You agree that EFS may take your instructions to incorporate a company or provide any other service on your behalf may be delivered to us by way of submission to our websites, emails, fax, phone or letter. You agree to take the legal and financial responsibilities for any liabilities incurred by the Company incorporated on your behalf by EFS. Liabilities will include those to EFS, the local filing agent and the local government authority. You understand that the Company has to be kept in good standing at all times and that you will inform EFS a minimum of 3 clear month prior to renewal date of the Company if you shall no longer require this Company. You understand and agree that the fees incurred up an until the time EFS has been provided with such written notice of the discontinuation, dissolution, liquidation, transfer or striking-off of the fees incurred by the company will be paid by you. You must ensure safe receipt by EFS of such notice. EFS must confirm receipt of the notice in writing and you must make sure to be in possession thereof. You agree to accept responsibilities for the up keep of the Company.  

You agree and warrant that the information you have provided to EFS in support of providing a company incorporation or any other agreed service to you is truthful and accurate and that you have not omitted any material fact. 

You agree that the company will not engage in activities contrary to the laws of the country of incorporation as well as the laws of any country in which the company may operate. You have read, understood and agree to the terms and conditions as denoted herein.

13. Customer Service

If you are unhappy with any aspect of our service, please contact us in writing. Any complaints will be dealt with sympathetically and we will work with you to reach a satisfactory conclusion.

14. Changes to conditions of business

We reserve the right to make changes to these conditions from time to time.

15. Jurisdiction

Contracts between us will be concluded in the English language and our relationship with you will be governed by Indian law and will be subject to the exclusive jurisdiction of the Indian courts.
